1. Acceptance of These Terms

By accessing the QuantzaraAI website, requesting a consultation, submitting a service request, enrolling in training, using learning resources, uploading files, or using any related platform feature, you agree to these Terms of Service. If you do not agree, do not use the platform or services.

2. About QuantzaraAI Services

QuantzaraAI provides AI engineering, data science, machine learning, business intelligence, analytics, automation, training, recorded learning content, boot camps, consulting, project delivery, and related digital services. Some features described in our project documentation may be released in phases and may not be available at all times.

3. Accounts and User Responsibilities

Some services may require an account, student profile, client dashboard, or administrator access. You agree to provide accurate information, keep login credentials confidential, use the platform lawfully, and notify us of unauthorized access. You are responsible for activity under your account unless caused by our failure to apply reasonable security measures.

4. Client Engagements and Project Work

Consultations, proposal requests, AI projects, data engineering work, dashboard builds, automation workflows, and other professional services may be governed by separate proposals, statements of work, invoices, or written agreements. If there is a conflict between these Terms and a signed project agreement, the signed project agreement controls for that engagement.

5. Training Academy and Learning Materials

Courses, boot camps, recorded videos, downloads, certificates, quizzes, and learning resources are provided for education and professional development. Enrollment does not guarantee employment, business results, certification from a third party, or mastery of any skill unless expressly stated in writing.

6. Payments, Billing, and Refunds

Fees for consulting, projects, training, boot camps, subscriptions, or digital products will be shown in an invoice, checkout page, proposal, or written agreement. Payments may be processed through third-party payment providers. Refund eligibility, if any, depends on the relevant offer, service agreement, course policy, or statutory requirement.

7. User Content, Files, and Data

You may submit messages, business requirements, datasets, documents, images, files, project information, or learning submissions. You confirm that you have the right to provide that content and that it does not violate another party's rights, confidentiality obligations, privacy rights, or applicable law. You grant QuantzaraAI permission to use submitted content only as needed to provide, secure, improve, or support the requested service.

8. Intellectual Property

QuantzaraAI owns or licenses the website design, platform structure, text, graphics, code, training content, videos, templates, documentation, and other materials made available through the platform, unless otherwise stated. You may not copy, resell, redistribute, reverse engineer, or commercially exploit our materials without written permission.

For custom client projects, ownership of deliverables will be defined in the applicable project agreement. Unless a written agreement says otherwise, QuantzaraAI may retain ownership of reusable methods, templates, tools, general know-how, pre-existing code, and non-client-specific components.

9. Acceptable Use

You agree not to misuse the platform. Prohibited activity includes attempting unauthorized access, disrupting services, uploading malicious files, scraping content without permission, infringing intellectual property, submitting unlawful or harmful content, bypassing payment or access controls, or using our systems to violate privacy, security, or applicable law.

10. AI and Data Outputs

AI models, analytics, dashboards, forecasts, automations, and recommendations can support better decisions, but outputs may contain errors, uncertainty, bias, or limitations based on available data and assumptions. You are responsible for reviewing outputs before relying on them for financial, legal, medical, operational, or business-critical decisions.

11. Third-Party Services

The platform may connect with third-party tools such as payment processors, hosting providers, cloud services, analytics tools, email providers, automation platforms, AI APIs, video platforms, or learning tools. These services may have their own terms and privacy policies. QuantzaraAI is not responsible for third-party services outside our reasonable control.

12. Availability and Changes

We aim to provide a reliable, responsive, and secure platform, but we do not guarantee uninterrupted access. We may update, suspend, replace, or remove features for maintenance, security, legal compliance, performance, or business reasons.

13. Confidentiality

Where you provide non-public business, project, or client information, QuantzaraAI will handle it with reasonable care and use it only for the relevant service. Additional confidentiality obligations may be included in a project agreement or non-disclosure agreement.

14. Disclaimers

The platform and general website content are provided on an "as is" and "as available" basis. We do not guarantee that every result, forecast, model, automation, course, or business recommendation will meet every expectation or produce a specific financial outcome.

15. Limitation of Liability

To the maximum extent permitted by law, QuantzaraAI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, business interruption, or loss of goodwill arising from use of the platform or services. Any liability for a paid service may be limited by the relevant written agreement.

16. Termination

We may suspend or terminate access if you violate these Terms, misuse the platform, fail to pay required fees, create security risk, or use the services unlawfully. You may stop using the platform at any time, subject to any active service, payment, or project obligations.

17. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, unless a separate written agreement specifies otherwise. Disputes should first be addressed through good-faith discussion before formal proceedings are considered.

18. Updates to These Terms

We may update these Terms as our services, academy, platform features, business model, or legal obligations change. Continued use of the platform after updates means you accept the revised Terms.
